Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On March 8, 2023, AutoZone, Inc. (the “Company”) made the following changes to the AutoZone Executive Committee: (i) Preston B. Frazer, currently Executive Vice President, Store Operations, Commercial and Loss Prevention, has been appointed to the position of Senior Vice President, Finance; and (ii) Thomas B. Newbern, currently Executive Vice President, International, Information Technology and ALLDATA, has been appointed to the position of Executive Vice President, Store Operations, Commercial, Loss Prevention, International, Information Technology and ALLDATA. Changes to Mr. Frazer’s compensation are consistent with the Company’s compensation practices for its Senior Vice Presidents. No changes have been made to Mr. Newbern’s compensation.
